Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Cadence (the “Service”), operated by Nimblestride (“we”, “us”, “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Cadence provides informational guidance for agile delivery roles — role playbooks, delivery-lifecycle and gate information, cadence timetables, impediment analysis, and optional daily-plan emails. The Service may use artificial intelligence to generate content.

2. Informational purpose only — not professional advice

The Service and all content it generates are provided for general informational purposes only and do not constitute professional, legal, financial, compliance, or management advice. AI-generated content may be inaccurate, incomplete, or not suited to your circumstances. You are solely responsible for evaluating the content and for any decisions or actions you take based on it. Always apply your own professional judgment.

4. Mailbox connection

If you connect a mailbox, you authorize the Service to send emails on your behalf using send-only permissions. You may revoke this at any time via the unsubscribe link in any email or your mailbox provider’s settings. Your use of Google and Microsoft services through the Service is also subject to those providers’ terms.

5. Intellectual property

The Service, including its software, design, and content (excluding your inputs), is owned by Nimblestride and protected by applicable laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. You retain ownership of the information you submit and grant us the licence needed to operate the Service for you.

6. Third-party services

The Service relies on third parties (including Amazon Web Services, Anthropic, Microsoft, and Google). We are not responsible for third-party services, and their availability or terms may change.

7. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING (WITHOUT LIMITATION) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIMBLESTRIDE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) CAD $100.

9. Indemnification

You agree to indemnify and hold harmless Nimblestride and its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content, or your breach of these Terms, except to the extent caused by our gross negligence or wilful misconduct.

10. Termination

We may suspend or terminate access to the Service at any time, with or without notice, including for breach of these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination (including Sections 5, 7, 8, 9, and 11) will survive.

11. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Alberta, Canada, subject to any non-waivable rights under applicable consumer-protection law.

12. Changes

We may modify these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
